Forming a New LLC

Business Formation Service Fee and Inclusions
For a total fee of $450.00, our team will perform the following to help you form an LLC:
1. Prepare the Articles of Organization, Minutes of Organization, and affidavit of ownership for your LLC business.
2. Electronically file your articles with the State.
3. Obtain a Federal Tax Identification number.
4. File Form DR1 with the state to register for unemployment and sales tax if necessary.
5. Prepare the exemption form for construction exemption if necessary.
6. File the Beneficial Ownership Information (BOI) Report.
LLC Requirements
As an LLC, you can choose to be formed as a corporation, a partnership, or a single-member business and file your taxes according to the chosen entity type.
Each year, your LLC must submit an annual report to the State. This form must be filed electronically at Sunbiz.org and submitted by May 1st with a fee of $138.75. After May 1st, the fee will go up to $400.00.

Forming a New Corporation

Business Formation Service Fee and Inclusions
For a total fee of $550.00, our team will perform the following to help you form a corporation:
1. Prepare the Articles of Incorporation, Minutes of Organization, and corporate bylaws.
2. Electronically file your articles with the State.
3. Obtain a Federal Tax Identification number.
4. File Form 2553 to make you a Sub-chapter S corporation.
5. File Form DR1 with the state to register for unemployment and Sales tax if necessary.
6. Prepare the exemption form for construction exemption if necessary.
7. File the Beneficial Ownership Information (BOI) Report.
An additional $90.00 fee is needed if you want a corporate kit ordered for you. This kit contains the corporate seal and stock certificates in a nice binder.
Corporation Requirements
As the default employee of the corporation, you have to pay yourself with a paycheck and withhold the appropriate taxes from each check. To do this properly, you need must:
1. Deposit your monthly payroll taxes with the IRS by the 15th of each month.
2. File a Form 941 for your tax deposits at the end of each quarter
3. Pay your unemployment tax at the end of each quarter.
4. Pay your Federal unemployment tax at the end of each year.
5. Submit an annual report to the State electronically at Sunbiz.org by May 1st with a fee of $150.00. After May 1st, the fee becomes $550.00.
